How do I start a BV in the Netherlands step by step?

Step 1: Prepare your document

Before incorporation, you typically need:

  • A valid passport
  • Proof of residential address
  • Shareholder and director information
  • Proposed company name
  • Share capital (minimum €0.01)

Step 2: Draft the incorporation documents

A Dutch civil-law notary prepares the deed of incorporation and the articles of association.These documents define the ownership structure, management, and governance of the company.

Step 3: Sign through a Dutch notary

The notary verifies the identity of all shareholders and directors before executing the incorporation deed. For international entrepreneurs, remote incorporation is often possible.

Step 4: Register with the Chamber of Commerce (KvK)

After incorporation, the company is registered with the Dutch Chamber of Commerce and receives:

  • A KvK number
  • A Trade Register extract
  • Official company registration

Step 5: Step 5: Register for taxes

The Dutch Tax Administration assesses which taxes apply to your company, such as:

  • VAT (BTW)
  • Corporate Income Tax (CIT)
  • Payroll Tax (if applicable)
